LAW 7146 - Business Associations


California Bar Tested & Uniform Bar Exam Tested

In this course students will learn the way in which entities organize, operate and are financed.  Students study both closely held and publicly held for‑profit corporations and other hybrid entities in addition to learning the fundamentals of agency and partnership  The course examines the roles, obligations, duties, rights, and remedies of owners, managers, and other stakeholders in each business form under common law, Delaware general corporate law and the Model Business Corporations Act.  Key portions of federal regimes (e.g., securities regulation and taxation) is also included.  This course OR Corporations is a core course requirement for Business Law Emphasis.  Students who have completed the course in Corporations may not enroll in this course. Offered every year. 4 credits.
